Liquidation of an LLC

Assistance in company liquidation is one of our company’s key streams of activity.

We offer several ways of enterprise liquidation:

1. Liquidation by replacing the Founders, the General Director and the chief accountant:

This type of liquidation will take 10 business days.

Liquidation of a legal entity will be done by registration of the changes in the data on the General Director, the Founders and the Chief accountant with the Tax Service Inspectorate.

The rights and responsibilities of the Founders will transfer to new Founders; a new General Director and a new Chief accountant will get appointed (our Directors and Founders could be invited to the signing of the assignment contract or one of the sale of a stake in your company). In compliance with the RF legislation, the General Director, the Chief accountant and the Founder bear responsibility for the legal entity’s financial activity.

After registration of changes in the constituent documents, all responsibilities of your company will transfer to the new Founders and executive managers. The company will not get struck off the Unified Register of Legal Entities, it will continue to exist, but you will have nothing to do with its activity.

This liquidation procedure will not relieve your executive managers of responsibility for violations of law committed prior to the changes in your company.

2. Liquidation through reorganization (a merger, an acquisition, an affiliation/takeover or a spin-off)

The reorganization process will take at least 3 months.

A universal liquidation method, which involves termination of the company’s activity and receipt of:

  • An appropriate certificate from the Tax Service Inspectorate in which jurisdiction the liquidation took place;
  • A notification of de-registration with the tax authority;
  • All legal documents on your company’s legal succession to the new one formed as a result of a merger, an affiliation/takeover or a spin-off.

As a result of this reorganization, your company will be struck off the Unified Register of Legal Entities and will completely terminate its activity.

How much will it cost?

Liquidation through replacing the participants and the General Director – 20, 000 rubles.
Liquidation through re-organization (an affiliation, a merger):

  • Two to one – 65, 000 rubles
  • One to one – 80, 000 rubles.

Requisite documents and data for liquidation by way of replacing the Founder and the General Director:

  • The certificate of the legal entity’s registration;
  • The certificate of changes and the changes per se (if any);
  • The Charter;
  • The Memorandum of Association;
  • Resolutions (minutes) on setting up the enterprise;
  • Resolutions (minutes) on the incumbent Director’s appointment;
  • Statistics codes;
  • Notification/Certificate from the Tax Service Inspectorate on registration with the tax authorities;
  • Notifications of registration with the Pension, the Mandatory Health Insurance and the Social Insurance Funds.
  • The seal.

Requisite documents and data for liquidation through a re-organization:

  • The certificate of the legal entity’s registration;
  • The certificate of changes and the changes per se (if any);
  • The Charter;
  • The Memorandum of Association;
  • Resolutions (minutes) on setting up the enterprise;
  • Resolutions (minutes) on the incumbent Director’s appointment;
  • Statistics codes;
  • Notification/Certificate from the Tax Service Inspectorate on registration with the tax authorities;
  • Notifications of registration with the Pension, the Mandatory Health Insurance and the Social Insurance Funds;
  • The balance sheet as of the last report date stamped by the Tax Service Inspectorate;
  • The seal;
  • Certificate from the Pension Fund.
